Letter of Liability Waiver

I wish to entrust or have entrusted Legacy Consulting, LLC(“Consultant”) to provide consultancy services for early career development in order to help my children be competitive applicants as they apply for enrollment at international colleges and universities” (“Service”). In consideration of the service the Consultant provides, I hereby agree to the waivers as follows:

我希望委托或已经委托Legacy Consulting LLC（“顾问”）提供早期职业发展咨询服务，以帮助我的孩子在申请国际精英学院和大学时成为有竞争力的申请人（“服务”）。考虑到顾问提供的服务，我特此同意并放弃如下：

1. The work scope of the service provided or to be provided by Consultant shall be limited to the consultancy from Consultant to me or my children at the designated stage of consultancy. It is not duty of Consultant to conduct the application for enrollment.

            顾问提供或将要提供的服务的工作范围仅限于顾问在我指定阶段提供的，对我或我的孩子提供的咨询。顾问没有责任执行入学申请。

2. As consideration for the Service provided by the Consultant, I shall pay the Consultant a consultancy fee, which will be specified in the invoices or other documents. The consultancy fee set forth thereunder shall be the amount exclusive of any tax, if any, that is to say it shall be the amount received in the bank account of the Consultant. I hereby explicitly indemnify and hold harmless Consultant and its shareholders, directors, officers, affiliates, employees, partners, and agents from and against any and all liabilities, losses, damages, costs, and other expenses (including attorneys’ and expert witnesses’ costs and fees) arising from or relating to my taxation.

            作为顾问提供服务的对价，我应当支付顾问一笔顾问费，顾问费将在发票或其他文件中列明。顾问费为不含税（若有）的金额，即顾问的银行账户实际收到的金额。本人特此明确赔偿顾问及其股东、董事、高级职员、关联公司、员工、合伙人和代理人因本人税务问题引起或与之相关的所有责任、损失、损害、成本和其他费用（包括律师和专家证人的成本和费用），并使上述免受损害。

3. It is acknowledged and agreed that Consultant has not made any representations, warranties or guarantees with respect to the outcome of the application, nor any relevant laws, regulations, orders, administrative rules, decree by any authorities and any modifications, cancellations, revisions, replacement thereof.

           我承认并同意，顾问未就申请结果作出任何陈述、保证或承诺，也未就任何相关法律、法规、命令、行政规则、任何当局的法令及其任何修改、取消、修订、替换作出任何陈述、保证或承诺。

4. It is acknowledged and agreed that the representation and warranties shall be only to the extent that service performed by consultant shall be in good faith and on a reasonable effort basis. It is further acknowledged and agreed that outcome of the application for enrollment will be subject to many factors, and I will not have reliance on the Consultant or its advice or suggestions. For avoidance of doubt, Consultant shall not be liable to me for any loss, damage or costs for the Service, provided Consultant shall not act with willful misconduct.

            我承认并同意，顾问的陈述和保证仅限于顾问在真诚的、合理努力的基础上提供服务。我进一步承认并同意，入学申请的结果将取决于许多因素，我不会对顾问或其意见或建议产生依赖。为免生疑问，顾问不负责赔偿我与服务有关的任何损失、损害或费用，前提是顾问不得作出故意不当行为。

5. Nothing in this letter shall be construed as to establish a relationship of partnership, agency or employment between me or my children and the Consultant, and it is the intention of me that any such relationship is expressly denied.

            本函中的任何内容均不得解释为在我或我的子女与顾问之间建立合伙关系、代理关系或雇佣关系，我意图是明确否认任何此类关系。

6. I, hereby explicitly indemnify and hold harmless Consultant and its shareholders, directors, officers, affiliates, employees, partners, and agents from and against any and all liabilities, losses, damages, costs, and other expenses (including attorneys’ and expert witnesses’ costs and fees) arising from or relating to the Service.

           本人特此明确赔偿顾问及其股东、董事、高级职员、关联公司、员工、合伙人和代理人因服务引起或与服务相关的所有责任、损失、损害、成本和其他费用（包括律师和专家证人的成本和费用），并使上述免受损害。

7. In no event will Consultant be liable for any consequential, indirect, exemplary, special, or incidental damages arising from or relating to the Service. Company’s total cumulative liability in connection with Service, whether in contract or tort or otherwise, shall not exceed the aggregate amount of remuneration given or should have given by me to Consultant for Services performed.

            在任何情况下，顾问都不对因服务而引起的或与服务有关的任何衍生的、间接的、惩罚性的、特殊的或附带的损害承担责任。顾问与服务有关的全部责任相加，无论是在合同或侵权或其他方面，将不超过我已支付或应支付给顾问已提供服务的报酬总额。

8. I hereby waiver any claims that I have or will have against Consultant arising from or in relation to the Service except in case of willful misconduct by Consultant.

           除非是顾问故意不当行为的情形，本人特此放弃因本服务而对顾问拥有或将对顾问拥有的任何索赔主张。

9. I hereby represent that I fully understand my rights to review all aspects of this letter with attorneys of my choice, and that I have had the opportunity to consult with attorneys of my choice, and that I have carefully read and fully understand all the provisions of this letter, and that I am freely, knowingly and voluntarily entering into this letter.

           我在此声明，我完全理解我有权与我选择的律师一起审查这封函的所有方面，并且我有机会向我选择的律师咨询意见，我已经仔细阅读并完全理解这封函的所有条款，并且我可以自由地、有意地和自愿地签署这封函。

10. Governing Law. This letter shall be deemed to be made in the United States of America and the Commonwealth of Massachusetts and shall be subject to, governed by and interpreted in accordance with the laws of the United States of America and the Commonwealth of Massachusetts, for every purpose.

            适用法律。本函应被视为在美国及马萨诸塞联邦作出，并为任何目的受美国及马萨诸塞联邦法律约束、管辖和解释。

11. Dispute resolution. 争议解决

       11.1 Any dispute arising from or in connection with this letter shall be settled by a binding arbitration in the Commonwealth of Massachusetts, which shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association then in effect. The arbitral award is final and binding upon both parties.

            因本函引起或与本函有关的任何争议，均应通过在马萨诸塞州联邦具有约束力的仲裁解决，仲裁应根据当时有效的美国仲裁协会商事仲裁规则进行。仲裁书是终局的，对双方均有约束力。

       11.2 Regardless of anything else contained herein, I or Consultant shall be entitled to seek interim and conservatory measures from any court of competent jurisdiction, which shall not be deemed an infringement or waiver of this Article 11.1.

            无论此处包含任何其他内容，我或顾问均有权向任何有管辖权的法院寻求临时和保全措施，这不应被视为违反或放弃第11.1条的约定。

12. This letter constitutes a legally binding, valid and enforceable undertaking by and upon me issuing this letter to the Consultant, or by making payment for the Service or proceeding with the consulting session. Making payment for the Service or proceeding with the consulting session alone are sufficient and clear indication that I agree all the terms and conditions in this letter of waiver of liability.

            具有约束力。一经我向顾问发出本函，或通过支付服务费用，或通过继续进行咨询活动，本函即构成具有法律约束力、有效且可执行的承诺。仅支付服务费用或继续进行咨询活动就足以清楚地表明我同意本免责函中的所有条件和条款。
